Purple Chip Capital Backs H Partners’ Initiative for Change at Harley Davidson, Plans to Withhold Votes at 2025 Shareholders’ Annual Meeting

Purple Chip Capital Endorses H Partners’ Initiative for Change at Harley Davidson, Declares Intent to WITHHOLD Votes at the 2025 Annual Shareholders Meeting

Critiques Disengaged Board of Directors and Misguided Strategic Vision

CANTON, Ga., April 29, 2025 /PRNewswire/ — Purple Chip Capital Management, LLC (“Purple Chip Capital”), a value-driven investment firm and long-term investor in Harley Davidson, Inc. (NYSE:HOG) (“Harley Davidson” or the “Company”), has issued a statement supporting H Partners’ campaign for change at Harley-Davidson and declaring its intent to WITHHOLD votes regarding the re-election of CEO and Chairman Jochen Zeitz, along with Directors Thomas Linebarger and Sara Levinson during the Company’s 2025 Annual Meeting of Shareholders.

“As dedicated long-term shareholders and patrons of Harley Davidson, we have witnessed with concern the Company’s significant deviation from the fundamental principles that established it as an enduring American icon. Owning a Harley Davidson has always encompassed more than just having a motorcycle; it signifies being part of a distinctive culture and community recognized throughout the United States. This community thrived on a national network of dealerships that acted as local hubs, offering personalized services, exclusive events, and various tailored options that define Harley Davidson’s legacy.

The current Board of Directors has overlooked this culture, undermining the very foundation that has propelled Harley Davidson for almost 125 years, opting instead for online sales, inappropriate product expansions, and a neglect of the high-quality choices that make each Harley Davidson motorcycle genuinely distinct. The Company deserves a board that appreciates what distinguishes it and treats its dealers as essential partners and contributors to its success. Without thriving dealerships, the cherished community we are part of will dwindle, and performance will inevitably decline.

Regarding products, the Company must accept that the electric Livewire bikes were a serious misstep and should be phased out. Harley Davidson enthusiasts crave raw, unfiltered American power, not electric alternatives. The focus should shift to engaging the next generation of Harley riders, revamping the product line, and reinstating the iconic Sportster 883 as an entry-level option. Additionally, the ongoing push for cost-cutting through plastic accessories and trims has diminished the allure of the comprehensive Harley Davidson product range. It’s time to rekindle the pride that Harley Davidson riders have always felt in their motorcycles and the Company itself, bringing back high-quality parts and accessories crafted from chrome, steel, and leather.

We are pleased to see H Partners echo our concerns regarding the current trajectory of Harley Davidson, and we plan to WITHHOLD our votes for Directors Zeitz, Linebarger, and Levinson at the Annual Meeting. We believe that removing these three long-standing directors, who are evidently disconnected from Harley Davidson’s legacy, is a crucial step towards restoring the Company’s honor for the benefit of its riders, dealers, and shareholders.”

Major Shareholders Take a Stand Against Harley-Davidson Leadership, Call for Strategic Change

Criticizes Disconnected Board of Directors and Misaligned Strategic Direction

CANTON, Ga., April 29, 2025 /PRNewswire/ — Purple Chip Capital Management, LLC (“Purple Chip Capital”), a value-focused investment manager and long-standing shareholder of Harley Davidson, Inc. (NYSE:HOG) (“Harley Davidson” or the “Company”), has announced its support for H Partners’ push for change at Harley-Davidson and its decision to WITHHOLD votes for CEO and Chairman Jochen Zeitz, and Directors Thomas Linebarger and Sara Levinson at the upcoming 2025 Annual Meeting of Shareholders.

“As dedicated Harley Davidson shareholders and enthusiasts, we have observed with concern how the Company has diverged from the foundational principles that established it as a lasting American icon. Owning a Harley Davidson has always been about more than just riding a bike; it embodies being part of a vibrant culture and community recognized throughout the United States. This community has flourished through a network of dealerships that offer tailored services, exclusive events, and distinctive customization options associated with Harley Davidson products.

Under the current Board of Directors, this culture has been overlooked, undermining the legacy that has propelled Harley Davidson for nearly 125 years in favor of online sales and misaligned product lines, along with a departure from the quality customization that has made each Harley Davidson unique. The Company needs a board committed to recognizing its unique value and treating dealerships as vital partners crucial to its success. Without thriving dealerships, the community we cherish will diminish, and performance will continue to decline.

On the product side, the electric Livewire bike line has proven to be a significant misstep and should be discontinued. Harley Davidson riders prefer robust American power over electric engines. The Company should shift its focus towards attracting new generations of riders, revitalizing its lineup, and reintroducing the iconic Sportster 883 as an entry-level motorcycle. Additionally, ongoing efforts to cut costs through the introduction of plastic components have significantly lowered the allure of the full Harley Davidson product range. It’s crucial to revive the pride that Harley Davidson riders have always felt in their bikes and the brand while restoring high-quality parts and accessories made from chrome, steel, and leather.

We are encouraged to see H Partners echoing our concerns about the current direction of Harley Davidson, and we will WITHHOLD our votes for Directors Zeitz, Linebarger, and Levinson at the Annual Meeting. We believe removing these long-serving directors, who are clearly out of touch with Harley Davidson’s legacy, is a crucial step toward revitalizing the Company for the benefit of its riders, dealers, and shareholders.”

Harley-Davidson Considers $1 Billion Sale Amid Leadership Change and Investor Pressure for Significant Overhaul

The renowned motorcycle manufacturer Harley-Davidson is exploring the possibility of selling its financial services division, a move potentially valued at $1 billion, following the announcement of its CEO’s resignation.

Insiders, who requested anonymity, are gauging market interest in the sale of its Financial Services, which comprises regional banks, private equity firms, and private credit entities.

CEO Jochen Zeitz’s resignation may be in response to the value of the company’s stock plummeting

Weak sales growth, declining stock prices, and fierce competition from brands like Honda and BMW have unsettled investors, as reported by Business Times.

While the choice to terminate its financial arm isn’t definitive, the company is actively exploring potential buyer interest.

This development follows the announcement of Harley-Davidson‘s CEO, Jochen Zeitz, planning to step down after a five-year tenure.

On April 10, Harley-Davidson stocks dropped 9.3%, closing at $21.49 in New York, resulting in a market valuation of $2.7 billion.

Last year, the share price nearly halved, plummeting by 48%, a decline likely worsened by Trump’s tariff policies.

Harley-Davidson Financial Services (HDFS) assists dealers in financing their inventory and aids consumers in purchasing motorcycles, including the LiveWire bikes.

This division also collaborates with third parties to offer motorcycle insurance, facilitating entry into the world of two wheels.

Representatives from the Milwaukee-based firm declined to comment on the matter.

In 2023, the boutique manufacturer produced only 1,600 units of their impressive machines, with merely 20 available in the UK.

Notable fan of the brand, Jason Momoa, has been seen riding his £28,000 electric Harley, complete with a machete holder.

Recent reports suggest that the escalating trade war and impending tariffs imposed by the European Union on American-made motorcycles, including Harley-Davidson, could compel the storied brand to move production.

A report from Biz Journals indicated that a senior Harley executive recently cautioned Congress about the possibility of a “devastating” 56% tariff on bikes manufactured in America and sold in Europe.

Consequently, they have urged Congress to advocate for equitable trade agreements with the European Union, Canada, and Asian nations.

The EU responded earlier this month, announcing that, in retaliation for the 25% tariffs imposed by President Donald Trump’s administration on steel and aluminum imports, they would increase tariffs on American-made products, including motorbikes, boats, and bourbon.

Jonathan Root, the company’s CFO and president of commercial, stated that tariffs could rise to a total of 56% on American-made Harleys sold in the EU.

Root told the subcommittee, “My request today is straightforward: fairness.”

“It’s evident that Harley-Davidson is facing discrimination and being targeted politically by the EU and Canada.”

He asserted that these tariffs are unjustified, discriminatory, and politically driven, noting that Harley-Davidson has already absorbed a significant cost from a 2018 tariff, amounting to about $166 million.

He emphasized that the company chose to absorb these costs rather than passing them on to consumers.

On January 4, Mike Patterson, the dealership’s owner in Topeka, shared the unfortunate news with supporters on social media.

This year marked an impressive milestone of 75 years under the Patterson name, but after reaching this remarkable achievement, the family felt it was time to pursue new opportunities.

“It has been a journey filled with dedication, hard work, and countless memories,” Patterson expressed in his heartfelt message.

“After considerable thought and contemplation, I’ve decided to sell Historic Harley-Davidson.”

Patterson’s grandfather established the store in 1949, and since then, four generations have nurtured a thriving community of Harley enthusiasts.

“It’s been a hub, a gathering place, and a haven for those who share a passion for the open road,” said Patterson.

“Every customer, each handshake, and all the shared stories over the years have been invaluable to us.

“You’ve all become an extension of our family, and for that, I am extremely grateful.”

Steven Towers, who owns other dealerships in North Carolina and Nebraska, will assume leadership of the store on January 14.

Patterson mentioned that all employees currently under him will be offered positions by Towers.

The beloved owner encouraged fans to help welcome Towers as he carries on the legacy established by four generations of the Patterson family.

Nonetheless, some fans are not ready to say goodbye to the Patterson family.

“I’m stunned and saddened by this announcement,” wrote one loyal customer.

Harley-Davidson’s historic location in New York City ceased operations on September 28, with the owner mentioning economic challenges.

Additionally, the dealership in West Bend, Wisconsin, is temporarily closing for the winter from November 2 until April 1, 2024.

“I don’t have the words to express my feelings. I am grateful for all the memories and opportunities provided by the Patterson family.”

Another Harley enthusiast described the dealership as the best in the area.

“Wishing you all the best in your future endeavors. It has truly been a pleasure knowing you as not just a loyal customer but as a friend,” commented a heartbroken motorcycle rider.

Another fan of motorbikes expressed that they will fondly remember Patterson’s shop as a great place to “visit and hang out.”

I’m Not Typically a Harley Fan, But This Impressive New Touring Bike Might Change My Perspective

“Don’t overthink it. Just dive in, embrace whatever happens, and enjoy the journey.”

That’s the wisdom I received from a motorcycling expert when grappling with the idea of owning a motorcycle in New York City—a choice that seemed anything but sensible.

Fast forward ten years and my 2014 Triumph Bonneville T-100 has carried me through many highs and lows. I’ve managed to keep the shiny side up, create countless memories, and carry forth with virtually no regrets.

This is likely why I find myself drawn to Harley-Davidson’s 2025 Street Glide, which boasts an enticing mixture of characteristics that promise an exhilarating ride.

Naturally, its stunning appearance adds to its appeal.

Blending Tradition and Innovation

As a person whose current motorcycle is void of luxurious features like a windshield, cruise control, a gear indicator, or even a gas gauge, I’m somewhat cautious about bikes filled with modern conveniences—some might as well be a car.

The new Street Glide captures the ideal balance between classic allure and contemporary advancements, with its design harkening back to the past while the technology in its iconic batwing fairing embraces the present.

However, after numerous long rides on my chosen model, I’ve discovered the joy of experiencing more opulently equipped motorcycles, such as Indian’s Challenger and Harley’s own Low Rider ST.

The new Street Glide captures that balance of classic charm and modern innovation, with its design reminiscent of yesteryear and the advancements behind its iconic batwing fairing embodying the now.

Here are a few aspects that have caught my attention, despite not being a devoted Harley fan or a touring motorcycle enthusiast, prompting me to contemplate trading my trusted Bonnie.

1. The Fairing that Works

The batwing fairing might not appeal to everyone, yet this latest version is unrivaled in both appearance and functionality. It’s crafted with computational fluid dynamics to enhance the motorcycle’s aerodynamics and improve rider comfort. The integrated LED signature lighting is seamlessly designed and adequately brightens the road ahead.

2. Unmatched Power

street glide v-twin engine

While the idle of the brand’s modern motorcycles has been reduced to avoid the feeling that parts might start falling off at a traffic stop, the power has only improved. The Street Glide’s strength comes from a Milwaukee-Eight 117 liquid-cooled V-twin engine (displacement: ~1,917cc) that delivers 105 horsepower and 130 ft-lbs of torque at 3,250 rpm.

3. Touchscreen Experience

street glide touchscreen
street glide touchscreen

The 12.3-inch TFT Display might just tempt me into retiring my old-school phone mount. It lets you monitor critical motorcycle and journey information, switch between ride modes—Road, Sport, Rain, and custom—and utilize GPS navigation. (Though I have yet to find a built-in navigation system that surpasses Google Maps, I’m excited to give this one a try.)

4. Unleashing the Sound

street glide speaker
street glide speaker

Integrated audio helmets are fantastic—I’m a firm believer in my Sena Outrush R—but for the best overall safety, ease of use, and the ability to annoy pedestrians, a built-in system is unbeatable. The Street Glide features two fairing-mounted speakers powered by a 200-watt, four-channel amplifier, perfect for cranking up the soundtrack of your life—be it Wicked or any other genre you enjoy.

Pricing and Availability

The 2025 Street Glide, alongside other new Grand American Touring models like the Road King Special and Road Glide, is currently available at authorized Harley-Davidson dealerships globally. The starting price is $27,749, with additional options such as the chic black-on-black paint elevating that price significantly.
